1. THE CORPORATE SHIELD (ASSET PROTECTION)

1.1 Limited Liability: All services are provided by Syntra Automations (Pty) Ltd, a private company. In terms of the Companies Act 71 of 2008, the company is a separate legal person.

1.2 Personal Asset Protection: The Directors (Jonathan Scott Munday and Abdullahi Farah) act solely as representatives of the Company. Under no circumstances shall the Directors be personally liable for any corporate debt, liability, or claim arising from these Terms, except in instances of proven fraud or reckless trading as defined by Section 22 of the Companies Act.

2. AI AUTOMATION & HUMAN-IN-THE-LOOP (HITL)

2.1 Output Disclaimer: The Company utilizes third-party Large Language Models (LLMs) and automation tools (OpenAI, Make.com, Zapier). The Client acknowledges that AI may produce inaccurate, biased, or hallucinated content.

2.2 Review Obligation: The Client is strictly required to review and approve all AI-generated outputs before they are used in a live environment. Failure to do so constitutes a full waiver of the Company's liability for any resulting damages.

3. FINANCIAL TERMS & LIMITATION OF LIABILITY

3.1 Fees: All fees are non-refundable once automation development (the Discovery or Build phase) has commenced.

3.2 Liability Cap: To the maximum extent permitted by law, the Company's total aggregate liability for any claim (contractual, delictual, or statutory) shall not exceed the fees paid by the Client in the three (3) months preceding the claim.

3.3 Indirect Losses: The Company shall not be liable for consequential loss, loss of profit, or business interruption caused by third-party API downtime.

4. INTELLECTUAL PROPERTY & CONDUCT

4.1 Ownership: All proprietary Prompts, Workflow Architectures, and custom scripts developed by the Company remain the exclusive Intellectual Property of Syntra Automations (Pty) Ltd.

4.2 Non-Solicitation: The Client agrees not to solicit or hire any employee or contractor of the Company for 12 months following the termination of services.

4.3 Non-Disparagement: Both parties agree not to make any public statement that disparages the other's reputation.

5. DISPUTE RESOLUTION

All disputes shall be settled via private, expedited arbitration through the Arbitration Foundation of Southern Africa (AFSA) in Johannesburg.
